1. Who we are

This service is operated by [LEGAL ENTITY NAME] ("Arc-Squared", "we", "us"), a company registered in England and Wales (company number [COMPANY NUMBER]), registered office [REGISTERED OFFICE]. You can contact us at admin@arc-squared.com. We are registered with the UK Information Commissioner's Office (registration number [ICO REG NUMBER]).

2. The service

Arc-Squared provides an automated BIM file-processing service. You upload model files (Navisworks, Revit or FBX), we process them and make the resulting 3ds Max / FBX / USD assets available for download through this portal. The service is intended for businesses and design professionals.

3. Your account

Accounts are created by us for registered clients. Login is by single-use "magic link" sent to your registered email address — there is no password. You are responsible for keeping access to your email secure and for all activity under your account. Tell us immediately if you believe your account or email has been compromised.

4. Credits and payment

  1. Processing is paid for using prepaid credits. 1 credit = £0.10.
  2. You buy credits in advance via our payment provider (Stripe). A VAT invoice (where applicable) for each credit purchase is issued by Stripe and is available in your billing portal.
  3. We are not currently registered for VAT; prices are shown without VAT. This will change if and when we register, and we will update these terms accordingly.
  4. Credits are charged from your balance when you confirm a submission, based on the cost estimate shown to you before you confirm.
  5. Purchased credits are non-transferable and have no cash value. [Credit expiry, if any: confirm.]

5. Submitting work

Before you confirm a submission we run a pre-flight analysis and show you an estimated credit cost. You are charged only when you confirm. A submission may contain multiple files; each file is processed as a separate job, and your statement shows the cost per file. We may decline or pause any submission for review (for example, very large jobs above our automated-processing limit), in which case we will contact you.

6. Your responsibilities and acceptable use

  1. You confirm you own, or are licensed to use and process, every file you upload, and that doing so does not infringe any third party's rights.
  2. You must not upload unlawful, infringing or malicious content. We scan uploads for malware and may reject files that fail validation or scanning.
  3. Individual files are subject to an upload size limit (currently 15 GB); for larger files, contact us to arrange a tailored transfer.

7. Processing and deliverables

We process files using reasonable skill and care and the settings you select. Automated processing of complex 3D models cannot be guaranteed to produce a specific result, and outputs may vary with the content and quality of the files you provide. You are responsible for checking deliverables meet your needs before relying on them.

8. File retention

Uploaded input files and processed output files are retained for a limited period — currently up to 30 days from job completion — and are then permanently deleted. It is your responsibility to download deliverables within this period. Arc-Squared is not a file storage or backup service.

9. Cancellations and refunds

  1. Before processing begins: you may cancel a submission and we will refund the credits charged, less a base processing fee per file (to cover pre-flight and set-up).
  2. After processing has begun: a submission can no longer be cancelled for a refund.
  3. Jobs we decline: if we decline a submission, the credits charged are refunded in full.
  4. Files we fail to process: if an individual file cannot be processed due to a fault on our side, that file's share of the cost is automatically refunded.
  5. Completed work is non-refundable.
  6. Consumers: if you are an individual contracting outside your business, you have a statutory 14-day right to cancel. Because processing is a service that begins immediately, you agree at submission that processing starts during the cancellation period and acknowledge that your right to cancel ends once processing of a file has begun. We record this acknowledgement.

10. Availability

We aim to keep the service available but do not guarantee uninterrupted access. We may suspend the service for maintenance or for reasons outside our reasonable control. [Any SLA: none unless agreed separately.]

11. Intellectual property

You retain all rights in the files you upload and in the deliverables we produce for you. We retain all rights in our software, scripts and processing pipeline. You grant us the limited licence to store and process your files solely to provide the service.

12. Confidentiality

We treat your files and project information as confidential and use them only to provide the service and as described in our Privacy Policy.

13. Liability

[To be confirmed by a solicitor.] Nothing in these terms limits liability that cannot be limited by law (including for death or personal injury caused by negligence, or fraud). Subject to that, we are not liable for indirect or consequential loss, loss of profit, data or goodwill; and our total liability arising from the service is limited to the credits you paid for the affected submission(s) in the [12] months before the claim. You are responsible for keeping your own master copies of all files you submit.

14. Data protection

We process personal data in accordance with our Privacy Policy and UK data protection law.

15. Changes and termination

We may update these terms from time to time; the current version is always available here, and material changes will be notified. You may stop using the service at any time. We may suspend or close an account that breaches these terms.

16. Governing law

These terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
